TERMS AND CONDITIONS
World Alumni Network, “WAN®”, is the owner and publisher of www.worldalumni.com (the term “Website” shall unless repugnant to the context thereof mean include all other websites and online resources owned by WAN® including but not limited to www.worldalumninetwork.com and the mobile application (“App”) ). These terms and conditions “Terms” shall govern the use of the Website and/or App by any person “User” willing to browse, access the website, register and / or use any services offered by the Website. All Users are requested to read through and understand these Terms and the Privacy Policy (provided in the website) prior to accessing or using the Website.
This Website, App and the Privacy Policy is an electronic document as defined under the Information Technology Act (IT) 2000 and all other laws as amended by the IT Act 2000. This document does not require any signatures (physical or digital) and by clicking on the acceptance button or by selecting the relevant checkbox the User shall be bound by these Terms and Privacy Policy. Also, use of the Website or Services offered by it, by any person shall be construed as such person’s acceptance of these Terms and of the Privacy Policy. Any person or entity not agreeing to these Terms or not agreeing to the Privacy Policy shall not register (sign up/login) on the Website and shall not use any Services provided by the Website in any manner.
These Terms shall also govern the use of the Website/App by any User’s representatives, agents, guardians, subsidiaries and employees and the User shall be responsible for any action taken by their respective representative, agent, subsidiary or employee. The User shall be solely responsible for any and all actions taken from his/her respective account.
In the event any User is accepting these Terms on behalf of any entity, such User represents and warrants that the User has necessary authority to represent such an entity and bind the entity to these Terms. In the event that the User is not authorised or capable of binding the entity to these Terms or to act as a representative of the entity, such person shall not access or use the Website/App on behalf of the entity.
Eligibility: The User must have attained the prescribed minimum age to enter into a contract and should be competent to enter into a contract under applicable laws. WAN understands that there may be Pre-University College (PUC) students who have attained the minimum prescribed age to enter into a valid and binding contract and hence makes the Services available to such eligible students as well. No claims of lack of knowledge or understanding shall be entertained from any person who has attained the minimum prescribed age to enter into a contract.
Users shall further ensure that they have attained the minimum age required to enter into a valid and binding contract in their respective territory from which they may be accessing the Website or the Services.
1. DEFINITIONS
1.1 “Confidential Information” shall mean any and all trade secrets or other information which is deemed confidential or commercially sensitive and which is not in the public domain (other than through the wrongful disclosure by the User) and which belongs to any associates or representatives of WAN (whether stored or recorded in documentary or electronic form) and which (without limitation) relates to the proprietary information relating to the development, utility, operation, general or specific data, functionality, performance, cost, know-how, details of present and proposed businesses, formulas, ideas, strategies, techniques, policy, data related to employees, present or proposed vendors/customers, information regarding research and development, unpublished financial statements, budgets and other financial details, computer programming techniques, methodologies and related technical information, business or marketing plans, forecasts, licenses, prices or lists, quotes, bids, controls, operating procedures, organisation responsibilities, marketing matters and any or procedures, software programs and files, operating manuals, user manuals documentation, source code and any and all information pertaining to WAN’s application or software of any of its associates, subsidiaries or representatives.
1.2 “Contact Sphere” shall mean the persons with which a User may interact with subject to their Membership Plan.
1.3 “Force Majeure” shall mean any event beyond WAN’s control which restricts WAN from performing its duties and obligation contained herein, including but not limited to any Act of God, war, riot, black outs, terrorist attacks, failure in supply of water or electricity, electrical surges or spikes.
1.4 “Intellectual Property” shall mean collectively or individually, the following worldwide rights relating to intangible property, whether or not filed, perfected, registered or recorded and whether now or hereafter existing, issued or acquired: (i) patents, patent disclosures, patent rights, know-how, including any and all continuations, continuations-in-part, divisions, reissues, re-examinations, utility, model and design patents or any extensions thereof; (ii) rights associated with works of authorship, including without limitation, copyrights, copyright applications, copyright registrations; (iii) rights in trademarks, trademark registrations, and applications therefore, trade names, service marks, service names, logos, or trade dress; (iv) rights relating to the protection of trade secrets and Confidential Information; and (v) internet domain names, internet and world wide web URLs or addresses; and (vi) all other intellectual or proprietary rights anywhere in the world including rights of privacy and publicity, whether or not requiring registration and whether or not such registration has been obtained.
1.5 “Institution” shall mean any and all universities, schools, colleges, educational institutions, organisations or other entities that WAN partners with in order to create a listing, directory and network of all the students, alumni, faculty and management.
1.6 “Membership Plan” shall mean the various paid or unpaid subscriptions offered by WAN which have to be subscribed to by the Users, if available in order to avail the Services.
1.7 “Party” shall refer to either the User, the Institution or to WAN as the context may suggest and the Users, Institutions and WAN may be collectively referred to as the Parties.
1.8 “Services” shall mean any and all services provided or otherwise offered by WAN through the Website including but not limited to any software made available by WAN.
1.9 “Territory” shall mean the territory of India and or such other places as notified by WAN from time to time.
1.10 “User” shall mean any person who registers on WAN or uses the services of WAN in any manner.
1.11 “User Account” shall mean an account created by the User on the Website for the purposes of registering themselves with WAN in order to avail the Services.
1.12 “User Content” shall mean any and all such information, material or content posted, uploaded, published, distributed, submitted, transmitted or made public anywhere on the Website by the User.
2. ACCESS AND USE OF THE WEBSITE
2.1 Any of the following persons may access and use the Website:
2.2 Users shall ensure that their access and use of the Website are in compliance with all applicable laws of India and in confirmation with the applicable laws in the User’s jurisdiction.
2.3 The Services are provided for enabling Users to use and enjoy the benefits of the Services in the manner permitted by these Terms and subject to all applicable laws. Users may not copy modify, distribute, sell lease or rent any part of the Services or software or data nor may reverse engineer or attempt to extract the source code of the software.
2.4 Users may avail the Services offered on the Website only by registering themselves with the Website and creating a unique profile for themselves.
2.5 The Website is only meant for individuals who have attained the prescribed minimum age to enter into a contract. Any User below the prescribed age limit may access and use the Website only under the supervision of a guardian who has attained majority. Any use and access in violation of this Provision shall be considered fraudulent and WAN reserves all rights available under law.
2.6 Users will require a functional Internet connection to access and use the Website. Users shall be solely responsible in obtaining and maintaining necessary Internet connectivity along with any additional software or hardware that may be required to best use the Website.
2.7 Users shall solely bear all costs and expenses incurred by them including but not limited to any SMS or call charges as may be levied by their service provider while registering on the Website.
2.8 The right granted to Users shall not permit the Users to sublicense, sell, offer for sale, rent, lease, commercially exploit, publish or transfer any of the Services or the whole or any part of the Website.
2.9 All of the information and Services offered by WAN are done so on an ‘as is’ basis and Users may rely on or use the same at their sole option and risk.
3. SERVICES
3.1 The Services offered by WAN through the Website/App are intended to be used by registered Users across the Territory for the purposes of networking and socialising with one another with the main focus on searching Users based on various criteria and forming online connections as well as to communicate and collaborate with one another.
3.2 WAN reserves the right to modify, change (including prices) or stop any of its Services without any notice. WAN further reserves the right to change its domain names, registered address, contact information, network service providers and postal addresses without any notice.
3.3 WAN may also allow entities and third parties to post news, articles and job postings within the Website. All such entities and third parties shall be required to comply with these Terms while posting anything on the Website/App. WAN shall not be liable for any loss or damages caused to any person due to any dispute or claim arising with regard to any third party postings.
3.4 Once a User registers on the Website/App, WAN may compile any and all of the information submitted by the User and share the same to the concerned User’s Institution.
3.5 Users hereby consent to the disclosure of their information by WAN to the Institution for such purposes including but not limited to verification of the information.
3.6 Institutions shall be required to appoint a representative who shall assist WAN in verifying and corroborating the details submitted by the Users at the time of registration and account creation. The Institution shall ensure that such representative keeps all of the information confidential and does not make any unauthorised disclosure or use of the same. The Institution shall be solely responsible in ensuring the privacy and confidentiality of all User information submitted to it for verification.
3.7 In no event shall WAN be liable for any loss or damages caused to any person due to the use of any User information by the Institution.
3.8 WAN may also use the information submitted by the Users for the purposes of creating an online, searchable listing of various information provided by the User and the Users hereby consent to the same.
3.9 All Services are meant for the User’s personal and non-commercial use.
3.10 Any User accessing the Website from any place beyond the Territory shall ensure that they are in compliance with all applicable laws.
3.11 WAN may use the services and offerings of third parties and by accepting these terms or by availing any of the Services offered, Users hereby consent to the terms and conditions, privacy policies license agreements of such third parties regarding the use of their services and offerings.
3.12 In the event that any of the Services require any software to be downloaded, such software downloaded and installed by the User may update itself automatically. Some such software may allow the User to control the automatic upgrades.
4. USER ACCOUNTS AND REGISTRATION
4.1 The Services offered by WAN are intended only for such Users who have registered themselves with WAN and created an individual User Account.
4.2 Users who have not registered with WAN and have not created a User Account may not, either directly or indirectly, use or attempt to use the Services.
4.3 Users may create a User Account by providing such information requested for on the Website. Users are requested to provide only true, accurate, complete and up to date information at the time of registration and wherever prompted by the Website. Users shall be required to ensure that all the information submitted by them at the time of registration is kept up to date, continues to be relevant and complete.
4.4 Users are responsible for maintaining the Confidentiality of the password and accounts and are fully responsible for all activities that occur under the account or password.
4.5 In the event WAN, in its sole discretion, determines that any User Account or any of the information provided by a User is inappropriate, incorrect, dishonest, misleading or fraudulent then WAN may modify, edit, alter, change, delete such information or terminate such User Account with or without any notice.
4.6 Information provided, shared, submitted to WAN by the Users may be displayed, shared, exchanged, published, printed either on the Website or elsewhere as determined by WAN which may further be accessed publicly by any person, entity or other Users.
4.7 All User Accounts are intended to be used only by a single User. The sharing of account credentials and User Accounts is prohibited.
4.8 Users shall be solely liable for any and all loss and damages arising through the use of their respective account.
4.9 Users are requested to exercise necessary caution and to refrain from disclosing their account details to any person. Users shall be solely responsible in maintaining the security of their accounts.
4.10 Users shall not, in any manner, access or attempt to access the account of any other User.
4.11 All Users hereby grant in favour of WAN an irrevocable right to monitor User Accounts as well as to monitor and record any and all information, material or content transmitted, posted, published, displayed, submitted or made public anywhere on the Website. This shall not be construed as an obligation on WAN to regularly monitor and record the User Accounts and User Content.
4.12 Any User suspecting a fake User Account may notify the same by contacting WAN as per the contact page of the Website.
4.13 Users may also contact and inform WAN about any threats, weaknesses, inaccuracies or loopholes present in any of the account safety and security features implemented and maintained by WAN by contacting WAN as per the contact page.
4.14 WAN reserves the right to display the User’s name, photo and actions taken by the User on third party websites linked to WAN on the Website including but not limited to in any advertisements or commercials and Users hereby consent to the same.
4.15 Users shall not use the same login credentials used on any third party website while registering with WAN neither shall Users use the login credentials used to access their respective WAN account for any third party website.
4.16 By creating an account with WAN, Users agree to receive communications including but not limited to advertisements, newsletters, promotions and other communications from WAN. Users also agree to receive any communication from other WAN Users. In the event that the User does not wish to receive such communications, the User is free to deactivate his/her account. The User shall not be entitled for any refund of subscriptions if paid for any Membership Plan.
4.17 Users agree to bear any charges incurred by them for any communications made by them to WAN, including but not limited to SMS, any electronic communication or any other mode of communication.
5. RESTRICTIONS ON USE
5.1 Any person accessing the Website or availing the Services in any manner is hereby restricted from carrying out the following activities in any manner:

6.1 Many of the Services offered by WAN are intended to be used free of charge. WAN reserves the right to levy a fee on certain User’s who have subscribed to a paid Membership Plan. User’s wishing for additional features and functionality may opt for the paid Membership Plan if available.
6.2 WAN reserves the right to change or add fees to all of the Services from time to time.
6.3 The services offered in the paid Membership Plans may be offered on an ‘as is’ basis and may have an auto renewal feature.
6.4 Users will also be provided with an option to discontinue the Membership Plan on the expiry of the subscription period.
6.5 WAN reserves the right to modify any and all Membership Plans.
6.6 Users hereby grant in favour of WAN and its banking partners a right to continue storing and billing the User’s payment method regardless of whether the same has expired so as to facilitate easy transactions.
6.7 Payments to any such paid Membership Plan, if opted by the User, can be made as described under such plans by the Website/App.
6.8 In the event any User links their respective credit/debit card with their User Account, they shall be required to keep all details updated to continue availing any paid Membership Plans chosen.
6.9 None of the fees paid by any User shall be refundable under any circumstances.
6.10 The Parties shall be solely responsible in ensuring their respective tax and legal compliance.
7. USER CONTENT
7.1 For the purposes of these Terms, User Content shall mean any and all content submitted, transmitted, published, displayed, posted, distributed or made public by any User on the Website/App.
7.2 Users shall ensure that none of their User Content is in violation of these Terms, specifically any of the restrictions contained herein.
7.3 Users shall be solely responsible for their respective User Content and any content posted, made public or transmitted through their User Account.
7.4 Users shall ensure that they have all necessary rights, title and ownership over all their User Content and the same does not violate or infringe upon the rights of any third party.
7.5 Users hereby accept and agree that WAN shall have no duty of confidentiality over any User Content posted, uploaded, transmitted or distributed anywhere on the Website that is accessible to other Users.
7.6 By posting or submitting any content anywhere on the Website/App, Users grant in favour of WAN a worldwide, transferable right to use, edit, copy, distribute, make public, record, sell, incorporate or store the same without any notice or compensation to the User. This right shall continue beyond the termination of the User’s account.
7.7 Users should ensure that the User Content or any other information, content or material including but not limited to any feedbacks submitted to WAN is devoid of any ideas, suggestions and improvements regarding the Website, App or the Services. In the event any ideas, suggestions or improvements are submitted to WAN, the User hereby consents to the use and commercial exploitation of the same by WAN and waive all rights held by the User in the same in favour of WAN.
7.8 Users accept and agree that they shall indemnify and hold WAN harmless from any and all liability arising due to any content posted by the User anywhere on the Website.
7.9 WAN shall use best efforts to ensure that no third party rights are violated or infringed. However, in the event that WAN fails to notice any violation or infringement, Users may notify the same to WAN by referring to the contact information provided on the Website.
7.10 WAN shall be under no obligation to publish any of the information or content submitted or posted by any User.
7.11 WAN does not offer any storage services and WAN shall have no obligation to store, maintain or provide copies to any User unless required by law.
7.12 WAN’s automated systems may analyse User content including any communications transmitted by User’s through the Website so as to provide specific and relevant content and services as well as to improve the overall functionality of the Website and the Services.
8. ADVERTISEMENTS AND THIRD PARTY CONTENT
8.1 WAN may at its sole discretion permit third parties to post advertisements, links and other content in certain areas of the Website or in any communications sent to Users. Such advertisements, links and other content shall be that belonging to and maintained by third parties and nothing contained herein shall be construed as an endorsement of any ideas, opinions or suggestions present in any advertisement, link or other content by WAN.
8.2 The advertisements and links displayed on the Website may redirect Users onto a third party website having its own terms of use and privacy policy and Users are requested to be cautious while following any link or advertisement.
8.3 Users may post any advertisements or links to advertisements only with the express written consent from WAN. Only such Users who have subscribed to a premium Membership Plan may be allowed to post advertisements and links to advertisements.
8.4 WAN shall not be liable for any loss or damages arising to any person while following any links or advertisements on the Website.
8.5 WAN shall not be a party to any transaction or agreement entered into by any User with any advertiser and hence, neither shall WAN be liable for any loss or damages caused to any User while transacting with any advertiser.
8.6 Users may rely on the contents of any advertisement or link at their sole option and risk. WAN advises all its Users to consult with an expert prior to relying on any information present in any link or advertisement.
8.7 Any person posting, uploading or displaying any links or advertisements shall ensure that they are in compliance with these Terms, specifically in compliance with the restrictions on use and content present in these Terms as well as with all applicable laws.
9. CONFIDENTIAL INFORMATION
9.1 The Users shall treat all Confidential Information made known to or obtained by them and which belongs to WAN, any Institution or other Users with the highest degree of care which shall not be less than a reasonable degree of care.
9.2 Under no circumstances shall any User make any unauthorised use or disclosure of any Confidential Information.
9.3 WAN shall collect, store and use information submitted by and received from the Users in accordance with the Privacy Policy.
9.4 Users hereby accept and agree that WAN may collect certain personal and personally identifiable information from Users and Users hereby consent to the collection and disclosure of the same to WAN’s service providers, partners, subsidiaries, associates, agents, employees, directors and representatives for the purposes of rendering the Services.
9.5 Institutions are expressly prohibited from using any confidential or personal information provided to it or obtained from WAN for any purpose other than for the purposes of creating a listing, directory and record.
9.6 No Party shall be liable for any unauthorised disclosure of any Confidential Information if:
9.7 In the event any User is disclosing any Confidential Information in order to comply with any law, direction or order, then such User shall immediately notify the same to WAN and shall only disclose such portion of the Confidential Information required to be disclosed. Such User shall be further required to assist WAN in obtaining an order limiting the disclosure of the Confidential Information.
9.8 All Users hereby accept and agree that any unauthorised use or disclosure of any Confidential Information pertaining to WAN may result in irreparable losses to WAN and WAN reserves all rights under law in order to limit or prevent the disclosure of any Confidential Information by Users including but not limited to injunctive relief.
9.9 Users shall be bound by terms of service of payment gateways. WAN shall not be liable for any fraud or non-compliance of such terms by the Users. Users accept and agree to indemnify WAN, should WAN incur any losses that may arise out of such fraud or non-compliance by Users.
9.10 Users acknowledge that Users may have to disclose certain information to payment gateways for making the payment or certain information may be collected by payment gateways during the transaction. The Users acknowledge and agree that WAN shall not be liable for collection, use, misuse or any losses that Users may incur as a result of such information collection.
10. INTELLECTUAL PROPERTY
10.1 Any and all Intellectual Property present anywhere within the Website or the Services, including but not limited to any patents, trademarks, logos, icons, domain names or copyright, shall be that belonging to WAN or otherwise duly licensed or obtained and Users shall not in any manner use the same unless with the express written consent from WAN.
10.2 Users are hereby expressly prohibited from reverse engineering, decompiling, disseminating, disassembling or using any other means to know, understand or obtain the source code forming a part of the Services.
10.3 Any and all software, information, data, content including but not limited to any images, audios, videos or text that may be viewed, accessed or downloaded from the Website shall be that belonging to WAN or otherwise duly licensed.
10.4 Any and all Intellectual Property discovered, developed or improved upon by any User that incorporates any of the Intellectual Property owned or obtained by WAN or utilises any of WAN’s resources shall be that belonging solely to WAN and Users shall assign and shall ensure that all of its employees, directors and agents assign all rights held by them over the same in favour of WAN. Users shall further be required to assist WAN in the filing and registration of any of the above mentioned Intellectual Property.
10.5 WAN may choose to display certain information, material and content within the Website (Website Content). Certain Website Content shall be that belonging to third parties and WAN makes no claim over the same. Neither does WAN make any claim over any information pertaining to Users.
10.6 In the event any User notices any infringing content either in the User Content or within the Website Content, such User shall immediately notify the same to WAN by referring to the Website contact page. Users may also request for User Content and Website Content to be taken down. Users shall be required to furnish sufficient proof, to WAN’s satisfaction, of their claim over or ownership of any User Content or Website Content. Users shall ensure that any notice requesting for the take down of any information or content violating or infringing their rights is honest and bona fide and all Users hereby accept that any dishonest or mala fide notice to take down any information or content may attract legal liability.
10.7 All requests to take down any violating or infringing information or content shall be accompanied by a short description of the infringing or violating information or content along with the location of the same, the complainant’s contact information along with a statement under the penalty of law stating that the User believes in good faith that such information/content has been infringed or used without authorisation and that all of the information present in the notice is true, accurate and complete to the best of the Users knowledge.
10.8 On receipt of the above mentioned request, WAN may take appropriate action.
10.9 Any rights that have not been specifically granted to any User shall not be construed to have been granted.
10.10 In the event any User infringes or makes any unauthorised use of any Intellectual Property belonging to WAN, WAN reserves the right to exercise all rights available to it under law.
10.11 All of the software, information, data, content including but not limited to any images, audios, videos or text that may be viewed, accessed or downloaded from the Website are meant for use only subject to the Terms and all applicable laws. WAN expressly prohibits the use, reproduction or redistribution of the above mentioned software, information, data and content including but not limited to any images, audios, videos or text in violation or breach of the Terms or of any applicable law. WAN reserves the right to prosecute violators to the maximum extent permitted under law.
10.12 Material and content available anywhere on the Website or the Services may be made available subject to certain limitations including limitations pertaining to its use, reproduction, distribution and dissemination. Users shall be solely responsible in ensuring that they are complying with such limitations.
11. INDEMNITY AND LIMITATION OF LIABILITY
11.1 All Users hereby accept and agree that WAN is merely providing a platform for Users to meet and interact with other Users who were a part of the User’s Institution. Users further accept and agree that WAN shall not be a party to any transaction or agreement entered into between any Users through the Website. Hence under no circumstances shall WAN be liable for any loss or damages caused or arising to any User while interacting or transacting with any other Users.
11.2 Users shall indemnify or otherwise hold WAN harmless from any and all loss, damages, costs (including reasonable attorney fees), claims, actions or suits arising due to the acts or omissions of the User including but not limited to any unauthorised use or disclosure of Confidential Information or the unauthorised or unlawful use of the Services.
11.3 Users shall be required to assist WAN in defending any suit, action or claim arising against WAN due to the acts or omissions of the Users, at their own cost.
11.4 WAN shall use best efforts to make the Website and the Services available continuously without any interruptions. However, WAN shall not be liable for any non-availability or non-functionality of the Website or the Services for any reason.
11.5 WAN may, at its discretion, bring down or restrict access to the Website and/or the Services, either temporarily or permanently and without any prior notice for any reason including but not limited to maintenance, upgrading or to make changes to and/or improve upon the Website and/or the Services. Such down time or disruptions may not be foreseeable by WAN and neither shall WAN be able to provide the duration of such down time or disruptions. Users hereby accept and agree that WAN shall not be liable for any loss or damages caused due to such disruptions or downtime. WAN may also engage with third parties whom shall provide WAN with various functionalities including but not limited to hosting and networking. Hence, Users accept and agree that any downtime or disruptions faced by WAN’s service providers may also affect the performance of WAN’s requirements under this Terms and WAN shall not be responsible for the same. None of the downtime or disruptions faced by WAN shall entitle any User to receive any refunds.
11.6 Users shall be accessing the Website and availing the Services at their sole option and risk and WAN shall not be liable for any loss or damages caused to any User’s system or device.
11.7 All Institutions partnering with WAN hereby accept and agree that they shall indemnify or otherwise hold WAN harmless from any and all loss, damages, costs, claims, actions or suits arising due to its acts or omissions including but not limited to any negligence on its part or on the part of its representatives and associates.
11.8 USERS HEREBY ACCEPT AND AGREE THAT UNDER NO CIRCUMSTANCES SHALL WAN, ITS SERVICE PROVIDERS, PARTNERS, AGENTS, AFFILIATES, REPRESENTATIVES, AGENTS, EMPLOYEES OR DIRECTORS BE LIABLE FOR ANY LOSS, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO ANY LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF REVENUE, LOSS OF OPPORTUNITY OR LOSS OF INFORMATION WHETHER ARISING OUT OF THIS AGREEMENT, UNDER TORT (INCLUDING NEGLIGENCE) OR DUE TO THE USE OF THE SERVICES REGARDLESS OF WHETHER WAN HAD BEEN ADVISED OF THE POSSIBILITY OF THE SAME.
11.9 Under any circumstances, the maximum extent of WAN’s liability, if any, shall be limited to 0.01% of the fee paid by the User while subscribing to a Membership Plan.
11.10 WAN shall not be liable for any loss, damages arising or for any non-performance or non-availability of the Services caused due to any Force Majeure or other event/reason.
11.11 On the occurrence of any unforeseeable event, for any reason, WAN may in its sole discretion terminate these Terms and/or cease the rendering of any or all Services.
11.12 WAN shall not be liable for any loss or damages arising to any person or entity due to the acts or omissions of any User or Institution or due to any User Content or Website Content.
11.13 Neither shall WAN be liable for any loss or damages caused to any person or entity including loss of reputation or loss of business due to the listing and other Services offered by WAN.
11.14 None of the Services offered by WAN including but not limited to the messaging services are intended to be used in the event of an emergency and any User using the same during an emergency shall be doing so at their sole option and risk and WAN shall not be liable for any loss, damages or injury (including death) arising due to the use of the Services. Users are advised to contact emergency services directly in the event of an emergency.
12. REPRESENTATION AND WARRANTIES
12.1 ALL USERS REPRESENT AND WARRANT THAT ALL OF THE INFORMATION, MATERIAL AND CONTENT PROVIDED, POSTED, PUBLISHED, MADE PUBLIC, TRANSMITTED, SUBMITTED OR DISTRIBUTED ANYWHERE ON THE WEBSITE IS TRUE, ACCURATE, COMPLETE AND CORRECT TO THE BEST OF THEIR KNOWLEDGE AND THAT THE SAME DOES NOT INFRINGE UPON OR VIOLATE THE RIGHTS OF ANY THIRD PARTY.
12.2 USERS FURTHER REPRESENT AND WARRANT THAT THEY HAVE ALL NECESSARY RIGHTS AND AUTHORITY TO ENTER INTO AND BE BOUND BY THESE TERMS AND THAT NOTHING CONTAINED HEREIN SHALL BE IN VIOLATION OF ANY OTHER AGREEMENT OR UNDERSTANDING ENTERED INTO BY THEM.
12.3 WAN HEREBY DISCLAIMS ALL WARRANTIES RELATING TO THE WEBSITE AND THE SERVICES AND DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT THE SERVICES SHALL BE CONTINUOUS, UNINTERRUPTED, ERROR FREE, FREE FROM ANY VIRUSES OR SHALL SERVE THE PURPOSES INTENDED BY THE USER. NEITHER DOES WAN MAKE ANY REPRESENTATIONS OR WARRANTIES PERTAINING TO THE ACCURACY, RELIABILITY, FITNESS, MERCHANTABILITY OR COMPATIBILITY OF THE WEBSITE OR THE SERVICES.
12.4 INSTITUTIONS HEREBY REPRESENT AND WARRANT THAT THEY HAVE ALL NECESSARY APPROVALS INCLUDING CORPORATE APPROVALS REQUIRED TO ENTER INTO AND BE BOUND BY THESE TERMS AND THAT IT SHALL USE ANY AND ALL INFORMATION DISCLOSED OR MADE KNOWN TO IT UNDER THESE TERMS ONLY FOR THE PURPOSES OF VERIFYING THE DETAILS AND FOR CREATING A DIRECTORY/RECORD AND SHALL NOT COMMERCIALLY EXPLOIT ANY OF THE INFORMATION PROVIDED TO IT INCLUDING BUT NOT LIMITED TO ANY PERSONAL DETAILS PERTAINING TO USERS INCLUDING PERSONALLY IDENTIFIABLE INFORMATION.
12.5 ALL OF THE INFORMATION PROVIDED BY WAN ANYWHERE WITHIN THE WEBSITE SHALL BE PROVIDED ON AN ‘AS IS’ BASIS AND USERS MAY RELY ON THE SAME ONLY AFTER CONSULTING WITH AN EXPERT.
12.6 WAN HEREBY EXCLUDES ANY AND ALL REPRESENTATIONS AND WARRANTIES TO THE EXTENT PERMITTED UNDER LAW.
13. TERM AND TERMINATION
13.1 These Terms shall be binding upon the User from the time they have accessed or browsed the Website.
13.2 WAN reserves the right to deactivate, suspend, terminate or delete the User Account and stop the rendering of Services for any or no reason with or without any notice.
13.3 Users may at any time and without any notice stop all use of the Website and the Services. However, this shall not entitle any User to receive any refunds for any unused period of their respective Membership Plans.
13.4 Any Institution wishing to terminate their agreement with WAN may do so only in accordance with the Memorandum of Understanding entered into between the Institution and WAN.
13.5 Users may either temporarily disable their accounts or may permanently delete the same. In such an event WAN may continue storing the User’s information.
13.6 On the termination of any User Account, the account holder shall stop all further use and access of the Website or the Services in any manner.
13.7 On the termination of the User Account, all information related to such an account may be removed or deleted from the Website as determined by WAN. WAN shall not be liable for any loss or destruction of any information after the termination.
13.8 Users shall be required to return any and all information, material and content received from WAN or its associates or representatives on the termination of their respective User Account. Any data stored electronically shall also be removed and a certificate to that effect shall be issued by such User, if required by WAN.
13.9 The User’s obligations with regard to Confidential Information, Indemnity and Intellectual Property shall continue after the termination of the User’s account.
13.10 Any and all rights granted by WAN to the User under these Terms shall cease, effective immediately, on the termination of the User’s account by WAN.
13.11 On the termination of the User’s account, WAN’s right to use any ideas, suggestions, feedback submitted to WAN shall continue indefinitely.
14. CANCELLATION AND REFUNDS
14.1 The Website in its sole discretion may cancel or suspend any User’s account in case the User’s actions are found in violation of these terms. The Website may or may not give any prior notice to the user. In case of such cancellation the User shall not be entitled to any refund of fee or payments made to the Website.
14.2 In case the user decides to stop using the Website’s services due to any reason the user shall not be entitled to any pro rata or other form of refunds.
14.3 In case the user sends any account cancellation or service cancellation request to the Website, the Website may cancel the account or such services. However, in such circumstances, the user shall not be entitled to any refunds.
15. NON-COMPETE AND NON-SOLICITATION
15.1 Users hereby accept and agree that they shall not use any of the Confidential Information disclosed or made known to them for the purposes of creating an entity or services that shall be competing, either directly or indirectly, with WAN and its Services.
15.2 Neither shall Users use any Confidential Information for the purposes of soliciting any Users or Institutions away from WAN or to persuade any person to refrain from availing the Services offered by WAN.

16.1 Any User wishing to contact WAN for any reason including but not limited to requesting for any content to be taken down may do so by referring to the Website contact page.
17. MODIFICATIONS
17.1 WAN reserves the right to modify or amend the whole or any part of these Terms without any prior notice. In the event of any amendments or modifications to the same, the revised Terms shall commence to be binding upon the User from the time it is made available on the Website. Hence, all Users are requested to frequently check for revisions of the Terms.
17.2 WAN reserves the right to introduce new limitations with regard to the access and use of the Website and the Services at any time and without any notice.
18. ENTIRETY
18.1 These Terms along with the Privacy Policy and any other policy implemented by WAN from time to time shall form the entire agreement and understanding between the Users and WAN.
19. SEVERABILITY
19.1 In the event that any part of these Terms are found to be invalid, unlawful or otherwise unenforceable, such invalid, unlawful, unenforceable portion shall be completely severable from this Agreement and shall be replaced with a provision that most closely reflects WAN’s intention while remaining valid, lawful and enforceable.
20. WAIVER
20.1 Any delay on the Part of WAN in taking appropriate action against any User shall not be construed as a waiver of WAN’s right and shall not impede WAN’s right of taking action at a later stage.
21. ARBITRATION, GOVERNING LAW AND JURISDICTION
21.1 In the event of a dispute or claim arising with regard to this Terms or any other Website policy, the Users and WAN shall first attempt to resolve the same amicably through discussions.
21.2 In the event that the Parties are unable to solve the disputes or claims in an amicable manner, the Parties shall attempt to resolve the same through Arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 as amended from time to time. The Arbitrator shall be appointed by WAN and Users hereby consent to the same. The seat for such Arbitration shall be Bangalore and all Arbitration proceedings shall be in English.
21.3 These Terms shall be governed by and construed in accordance with all applicable laws of India and the courts at Bangalore shall have exclusive jurisdiction over any matter arising out of these Terms.

This Privacy Policy (the “Policy”) shall set out the terms by which WAN® shall collect store and use information pertaining to Users. The provisions of the Terms are incorporated herein by way of specific reference.
Users are advised to read through and understand the terms of this Policy and any claims at a later stage regarding lack of understanding of this Policy shall not be entertained. This Policy shall also set out the terms and conditions by which WAN collects and uses personally identifiable information.
This Policy shall not govern the collection and use of any User information by any third parties including but not limited to any advertisers on the Website.
All Users of the Website or the Services shall be governed by this Policy and this Policy shall constitute a valid and binding agreement between the Parties. In case any User does not wish to be bound by this Policy, such User is requested to refrain from accessing or browsing the Website or from using the Services in any manner.
In case you are accessing and using the Website or the Services on behalf of an entity you accept and agree that you are authorised to act on behalf of such entity and bind such entity to the provisions of this Policy.

1.5 WAN may also collect certain Confidential Information from Institutions for the purposes of registering and listing the Institution.
1.6 WAN further reserves the right to record and store any and all communications sent by and between Users, Users and Institutions anywhere through the Website or the Services as well as any User Content uploaded, posted, transmitted or displayed anywhere on the Website.
1.7 WAN shall not publicly display any information that may allow any person to contact the User unless with such User’s express consent.
1.8 WAN may also collect information pertaining to Users through social media websites and other third party websites subject to the terms of use and privacy policy of such website and subject to all applicable laws.
1.9 The information collected from Users and Institutions shall be used and displayed ‘as is’ without any changes or modifications by WAN and WAN makes no representations or warranties regarding the same. Any User or Institution may rely on any information displayed by WAN on the Website at their sole option and risk.
1.10 All Users and Institutions hereby grant in favour of WAN a worldwide, non-exclusive, royalty free right to use such information for the purposes of rendering the Services as well as for marketing and promoting the Services.

2. USE OF INFORMATION
2.1 The main intention for the collection of information by WAN is for the creation of a searchable network that shall serve to connect the students, alumni, faculty, administration and management of a particular Institution and also allows them to communicate and collaborate with one another.
2.2 By providing the information and by accessing the Website or availing the Services, Users hereby consent to the use of the information by WAN.
2.3 The information is also used for the purposes of registering the User on the WAN network and for creating an account for the User. The information received/collected from the User shall be displayed on the User’s profile.
2.4 The information may also be used for the purposes of verifying the User’s identity and to cross check the same with the User’s Institution.
2.5 The information is also collected for the purposes of rendering the Services without any errors or difficulties and to make the Services reasonably accurate.
2.6 Contact details pertaining to a User may also be collected for the purposes of contacting and communicating with the User. Users hereby consent to receiving regular communications from WAN relating to the Services, events, news and updates. Communications may be sent to User’s as WAN determines to be appropriate. WAN shall not be liable for any errors present in any communication sent to the Users. By registering with WAN, Users also consent to receiving communication from other Users.
2.7 Any ideas or suggestions present in any communications sent by the User or present in any feedback received from the User may be used for the purposes of improving upon the Services as well as to develop further features and services.
2.8 WAN may process certain personal information pertaining to User’s outside such User’s country and all Users hereby consent to the same.
2.9 When Users connect or communicate with one another, information displayed on their respective profiles shall be viewable to the Users with whom they may connect or communicate with and all Users hereby agree to the same.
2.10 WAN may customize User experience by displaying certain advertisements, information and other Website Content including but not limited to information pertaining to new members and news. Although WAN attempts to provide only relevant information and content Users may also be exposed to information, material and content that they may not find relevant for which WAN shall not be responsible.
2.11 WAN may also use the information collected from Users for the purposes of creating a searchable listing. All Users shall be listed in the same and this may be accessed and viewed by Institutions and other Users including potential recruiters. WAN may allow potential recruiters to manage and store certain independently obtained information pertaining to the Users on the Website. WAN does not process such information.
3. COLLECTION OF INFORMATION BY OTHER MEANS
3.1 Cookies: WAN also utilises cookies in order to collect certain information from Users for the purposes of improving upon the Website and the Services. The cookies employed by WAN are manageable by the Users through their web browser. Users may at any time disable or delete the cookies. However, disabling or deleting the cookies may result in reduced functionality of the Website and the Services for which WAN shall not be liable. The cookies employed by WAN collects information including but not limited to IP address, browser details, browser version, browsing history, browsing patterns and time spent on other websites. By accessing the Website or availing any of the Services offered by WAN, Users hereby consent to the placement of cookies on the respective User’s browser.
3.2 Mobile Devices: In case the User has downloaded and installed the WAN mobile application, certain information is collected by WAN. This information includes the type of device, operating system and unique device identification.
3.3 Geo-location: WAN may also collect certain location related information from the User’s device. This shall be the User’s actual location determined through the User’s GPS. This information may also be used to notify Users on the presence of other Users in the vicinity. This location information may also be shared with WAN’s mapping partners.
3.4 Analytics Software: WAN also employs the use of certain analytics software to monitor the browsing patterns of Users such as Google Analytics. This may collect information such as how often a User uses the mobile application or visits the Website, frequency of visits, aggregated usage data and performance data.
3.5 Log Files: Like most other websites, WAN also collects information relating to the User’s device through log files. The information collected through these log files shall include but not be limited to the IP address, Services used, time and date of use, browser type and version, operating system and internet service provider of the User.
3.6 Certain information collected by WAN through its partners may be linked with the User’s respective account.
3.7 WAN may introduce new features and services for which additional information may be collected or the method of collection of User information may change and Users hereby consent to the same.
4. DISCLOSURE OF INFORMATION
4.1 WAN may sell, share or exchange User information with its affiliates and WAN’s service providers for the purposes of improving the Services as well as for any other purpose as determined to be appropriate by WAN and Users herby consent to the same
4.2 WAN shall be under no obligation to notify the User for every instance of disclosure of the User’s information and the Users hereby consent to the same.
4.3 WAN may also disclose certain information to Institutions, its service providers, partners, agents, representatives, employees and directors and Users hereby consent to the same. All such disclosures shall be made only on a ‘need to’ basis.
4.4 The information collected may also be disclosed to Institutions for the purposes of verifying the same and to ascertain the details provided by the User.
4.5 WAN may collaborate with third parties including banks in order to realise payments from Users and hence may share certain account and card related information to them and Users hereby consent to the same.
4.6 Furthermore, WAN may also disclose User information without any prior notice in the following circumstances:
4.7 WAN shall have no duty of confidentiality over any information that is posted, published, uploaded, transmitted, submitted distributed or made available anywhere where it is accessible and viewable by any other person. Neither shall WAN have any duty of confidentiality over any information that is already existing or freely available in the public domain or which is made public due to no fault on its part or any information that has been anonymized and is not personally identifiable to any User.
4.8 WAN may also disclose certain information that is not personally identifiable to any User in the form of aggregated personal data. This information may be shared with WAN’s associates, service providers and partners.
4.9 The User’s profile information may be indexed and displayed to third parties through publicly available search engines which are outside the control of WAN and User’s hereby agree to the same.
4.10 WAN may also disclose the User’s names and other information for the purposes of displaying reviews and testimonials received from them.
4.11 WAN may permit Institutions and other entities to display advertisements, links and other posts including job postings on the Website and the information pertaining to any User may be viewable by such Institutions and third parties in the event any User subscribes to or takes any actions on the advertisements, links or posts.
5. BANKING AND THIRD PARTY PAYMENT GATEWAY
5.1 The Website may collaborate or enter into agreements with banks and third party payment gateways for the purposes of collection of payments made by Users. For the purposes of such payment collection, the Website may have to share User details and data including but not limited to name, age, address, bank information, credit/debit card information, wallet information etc with such banks or third party payment gateways.
5.2 The User undertakes and agrees to follow the terms and conditions provided by such third party payment gateways and that the Website shall not be held liable for User’s violation of such terms and conditions.
6. STORAGE OF INFORMATION
6.1 Due to the sensitive and confidential nature of the information that is submitted by and collected from Users, WAN employs all reasonable measures of care that is at par with the current industrial standards in order to effectively protect the User information.
6.2 WAN shall, as is reasonable, attempt to protect the User information from any unauthorised use or disclosure as well as from any loss, destruction or theft.
6.3 However, the measures adopted and implemented by WAN may prove to be insufficient in certain circumstances and events and the same cannot be foreseen by WAN. Hence, WAN shall not be liable for any loss, destruction, theft, unauthorised use or disclosure of any User information despite adopting and implementing reasonable standards of care.
6.4 In the event WAN makes any physical copies of the information stored with it, WAN shall ensure that it implements reasonable physical measures to protect such information.
6.5 WAN may, as is reasonable, ensure its compliance with this Policy through several self regulatory frameworks.
6.6 WAN may, as is reasonable, encrypt the Services using SSL so as to maintain the integrity of the information received and transmitted by it.
7. ACCOUNT SAFETY
7.1 Users shall be solely responsible in ensuring the safety and security of their respective accounts.
7.2 Users are advised against sharing any account credentials including but not limited to any account login details.
7.3 In the event any User suspects the unauthorised use of their User Account, they shall immediately notify the same to WAN and WAN may take appropriate action at its discretion.
7.4 None of the communications transmitted through the Website or the Services are encrypted and Users are advised against sending any Confidential Information through the same.
8. MANAGEMENT OF INFORMATION
8.1 Users may manage, edit and modify certain account related information subject to approval from WAN.
8.2 The changes may be made by the Users themselves and the updated information/data may once again be sent to the concerned Institution for verification.
8.3 All Users agreed to keep and maintain all of their information correct, up to date, relevant, accurate and complete.
8.4 Users may be permitted to temporarily disable or permanently delete their respective User Accounts. In either event, WAN may, at its discretion, use, store or remove any or all associated data pertaining to the User from its servers.
8.5 WAN further reserves the right to deny any User’s request to edit, remove or manage any information submitted to it or collected by it in the event that such request is unreasonable, impractical or if editing, removing or managing the data may compromise any other information or data stored with WAN or if the cost of editing, removing or managing such information outweighs the need for the same.
8.6 WAN shall not be liable for any loss or destruction of information if the same has occurred due to a Force Majeure event.
8.7 Any and all information, material and content shared by the User with any other Users shall continue to be available on the Website after the termination of their respective User Account since the same by be cached or stored by third parties.
9. USE BY MINORS
9.1 The Website and the Services are offered only to such individuals who have attained the prescribed age to enter into a valid contract. Any individual below this age may only access the Website and avail the Services under the supervision of a guardian who has attained majority.
9.2 WAN does not encourage the use of the Website or the Services by a minor.
9.3 WAN shall not be liable for any loss or damages caused to any person or entity due to the use of the Website or the Services by a minor, including but not limited to the disclosure of any Confidential Information, and such minor’s guardian shall be solely responsible for the same.
10. OBLIGATIONS OF THE INSTITUTIONS
10.1 The Institution shall have the sole responsibility of ensuring the confidentiality of any information submitted, provided or made known to it by WAN and shall use all reasonable efforts in safe guarding the same.
10.2 The Institution shall ensure that all of its employees, agents, representatives or such other persons having access to the User information is bound by a confidentiality and non-disclosure agreement that contains stringent provisions.
10.3 Any loss, damage or costs arising due to the loss, destruction, theft, unauthorised use or disclosure of any User information made known to it shall be the sole liability of the Institution.
11. ADVERTISEMENTS AND THIRD PARTY CONTENT
11.1 WAN may at its sole discretion allow for third party advertisements and links to be posted on the Website. Such advertisements and links shall be that owned, operated and maintained by third parties.
11.2 All Users are advised to be cautious while following any links or advertisements.
11.3 Such links or advertisements shall have a terms of use and privacy policy separate from that of WAN’s. Users are advised to read and understand the same before visiting any third party websites through the Website.
11.4 Such third party websites may collect and store information and WAN shall not be liable for any loss or damages caused to any User following such links or advertisements.
11.5 WAN shall not be a party to any transaction entered into between the User and any third party and the same shall be the responsibility of the transacting Parties.
11.6 WAN may display certain sponsored content including but not limited to advertisements and links based on the User’s preferences and cookie settings. This shall be specific to User’s and all Users hereby consent to the same.
11.7 In the event any User is redirected either onto the Website or from the Website onto a third party website, WAN may collect/receive the URLs of the site from which the User has been redirected or the site to which the User has been redirected to.
11.8 WAN may target Users with advertisements that are relevant to them. The targeting may be done in a variety of manners including but not limited to (i) using pixels, ad tags, cookies and mobile identifiers, (ii) based on information provided by Users, (iii) based on the inferences derived from the information submitted by Users, (iv) User’s use of the Services and the log files generated, (v) information collected from third parties such as advertisers, service partners and affiliates.
11.9 Certain advertisers may associate User information with certain of WAN’s information collection technologies including but not limited to cookies and Users hereby consent to the same.
12. AMENDMENTS
12.1 WAN reserves the right to modify or remove the whole or any part of this Policy without any prior notice. Such revised Policy shall become effective from the date the revised policy is uploaded onto the Website.
12.2 Users are requested to regularly check for any updates.
12.3 Any use after the revisions have been effectuated shall be construed as the User’s acceptance of the revised Policy.
